Effective Date: July 10, 2026
These Terms govern your use of the CineKrom Play Studio portal as a filmmaker or content partner. Please read them carefully alongside the Filmmaker Distribution Agreement.
Contents
These Terms of Service ("Terms") govern your access to and use of CineKrom Play Studio at studio.cinekrom.cloud, operated by MensaSmoov Technologies and Solutions, LLC, doing business as CineKrom African Entertainment / CineKrom Play Studio.
By creating a Studio account or submitting content, you agree to be bound by these Terms and, where applicable, the Filmmaker Digital Distribution Agreement executed during registration.
These Terms apply specifically to filmmakers, producers, directors, and production entities. Consumer terms are available at cinekrom.cloud/terms.
Access to studio.cinekrom.cloud is restricted to approved filmmakers who have completed the 8-stage verification and approval process.
You must provide accurate, complete, and current information during registration and maintain the accuracy of that information throughout your engagement with the platform.
Your Studio account credentials are personal and non-transferable. You are responsible for all activity conducted under your account.
The Company reserves the right to suspend or revoke Studio access for breach of these Terms or the Filmmaker Distribution Agreement, with or without prior notice depending on severity.
All filmmakers must complete the 8-stage verification process before content is accepted, distributed, or revenue activated:
(1) Expression of Interest — (2) Document Verification — (3) Filmography Authenticity — (4) Technical Standards Review — (5) Rights & Legal Clearance — (6) Editorial & Cultural Review — (7) Agreement Execution — (8) Studio Onboarding & AI QA.
The Company reserves the right to decline any application at any stage, without obligation to provide reasons.
Providing false or misleading information during verification constitutes grounds for immediate account termination and may constitute fraud under applicable law.
All submitted content must meet our technical standards: minimum 1080p video resolution, stereo audio at 48kHz minimum, H.264 or ProRes codec, no embedded watermarks or timecodes.
You warrant that you own or control all rights necessary to submit, distribute, and AI-dub the content, including music rights, performance rights, and chain of title.
Content must not infringe any third-party intellectual property right. Content with unresolved copyright encumbrances will be blocked at the copyright gate (Stage 1.5) and will not proceed to Mux upload until an admin clearance is issued.
Content must represent authentic African storytelling and must not misrepresent Ghanaian or African culture, promote violence or hatred, or violate applicable law.
By submitting content to the Studio Portal, you consent to the AI pipeline processing your content through: OpenAI Whisper (transcription), Anthropic Claude (translation), ElevenLabs (voice synthesis), and Mux (video ingest and DRM).
AI-dubbed audio tracks remain associated with your content and are identified as AI-dubbed on the consumer-facing platform.
You retain full copyright in original and AI-dubbed versions of your content. The Company does not claim ownership of AI outputs generated from your content.
AI dubbing is provided at no upfront cost to the filmmaker. Pipeline costs are absorbed by the Company as part of the platform operating model.
All submitted content passes through a two-layer copyright risk gate:
Stage 1.5 — Copyright Audio Risk Scan: Automated detection of music-dominant audio passages using acoustic analysis. Films flagged as HIGH risk will not proceed until admin review and clearance.
Stage 4 — Mux Upload Block: Content with uncleared copyright_review status cannot be uploaded to Mux regardless of QA score.
Admin clearance (admin_cleared: true) is sticky and cannot be overwritten by pipeline re-runs. Clearances are logged with cleared_by, clearance_basis, and timestamp.
These safeguards reflect the legal exposure created by Ghana Copyright Act 2005 (Act 690) s.39(4) and international distribution obligations.
If you opt in to SMS during Studio registration, CineKrom Play may send transactional messages (pipeline status, payout confirmations, account alerts) and promotional messages.
Consent is not a condition of account activation or content submission. Msg & data rates may apply. Frequency varies by project tracking state.
Reply STOP to opt out. Reply HELP for assistance.
You retain full copyright and moral rights in all content you submit. This Agreement does not transfer ownership.
The CineKrom platform, AI pipeline, branding, and all Company-developed technology remain the exclusive property of the Company.
You grant the Company a non-exclusive, worldwide, royalty-bearing licence to distribute, dub, subtitle, and market your content for the duration of the Filmmaker Distribution Agreement.
Both parties agree to keep confidential any non-public information exchanged during the filmmaker relationship, including pipeline architecture, revenue data, and unpublished content.
This obligation survives termination of the account for a period of two (2) years.
Either party may terminate the Studio relationship with 14 days' written notice. On termination: content is removed from the platform within 30 days; outstanding revenue is settled within 60 days; verification documents are retained for 3 years per legal obligations.
The Company may terminate immediately for material breach, fraud, or submission of content with unresolved third-party rights claims.
To request account closure, email management@cinekrom.cloud.
The Studio Portal is provided "as is". The Company does not guarantee uninterrupted access or specific audience reach for any submitted content.
The Company shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the revenue share paid to you in the 12 months preceding the claim.
These Terms are governed by the laws of the State of North Carolina, USA. Disputes shall be resolved through binding arbitration under the American Arbitration Association Commercial Arbitration Rules.
We may update these Terms with at least 30 days' written notice to filmmakers by email. Continued use after the effective date of changes constitutes acceptance.
